Agreement Please read these official rules (the “Official Rules”) carefully. They contain important information about your rights and obligations, as well as limitations and exclusions that may apply to you if you enter the Pins And Aces Golf Cart Sweepstakes (the “Sweepstakes”) sponsored by Pins And Aces (the “Sponsor”). By participating in the Sweepstakes, you signify your agreement to these Official Rules and the decisions of the Sponsor. If you do not agree to the Official Rules, you may not enter the Sweepstakes. 2. Sweepstakes Period The Sweepstakes begins at 12:00:01 AM Eastern Time (“ET”) on July 1, 2022 and ends at 11:59:59 PM ET on October 31, 2022 (the “Sweepstakes Period”). Sponsor’s database clock will be the official timekeeper for this Sweepstakes. 3. Eligibility The Sweepstakes is open only to legal residents of the fifty (50) United States of America (excluding residents of New York and Florida) and the District of Columbia (“DC”) who are eighteen (18) years of age or older at the time of entry. (“Participant,” “entrant” or “you”). Employees, officers, directors, agents, or representatives, of the Sponsor, and its respective parent companies and their respective subsidiaries, affiliates, suppliers of prizes, advertising and promotion agencies involved in the administration, development, fulfillment and execution of this Sweepstakes (collectively, the “Sweepstakes Parties”), and the immediate family (spouse, parents, siblings and children) of, and/or those living in the same household of each, are not eligible to enter. The Sweepstakes is subject to all applicable federal, state, territorial, municipal, and local laws and regulations. If it is found that a person who does not meet the eligibility criteria set forth in these rules has submitted an entry, that entry may be deemed ineligible. Making a purchase will not improve your chances of winning. If a purchase is returned prior to the drawing, any entries associated with that purchase will be voided. “No Purchase” Method of Entry: To enter the Sweepstakes without making a payment, handprint your first name, last name, email address, phone number, and the words: Pins And Aces Golf Cart Sweepstakes and a unique, handwritten 150-word essay about your favorite golfing experience on a 3” x 5” card and mail it with sufficient postage in a stamped #10 envelope to: Pins And Aces Golf Cart Sweepstakes 5545 West 56th Ave. Unit F Arvada, CO 80002 (each, a “Mail-in Entry”). Each Mail-in Entry earns the entrant twenty (20) entries into the Sweepstakes. Limit of one (1) Mail-in Entry per postmarked envelope. All Mail-In Entries must be handwritten and must be received by October 31st, 2022. No mechanically reproduced Mail-In Entries are permitted. All Mail-in Entries become the exclusive property of the Sponsor and will not be acknowledged or returned. Proof of sending or submission will not be deemed to be proof of receipt by the Sponsor. Limit one of six hundred (600) entries per person during the Sweepstakes Period, regardless of entry method. Entrants are subject to all notices posted online including but not limited to the Sponsor’s Privacy Policy. Entries which are incomplete, illegible, or fraudulent are null and void. Sponsor is not responsible for incomplete, incorrect, or inaccurate capture of entry information. 5. Prize/Approximate Retail Value (“ARV”)/Odds Grand Prize: One (1) grand prize (the “Grand Prize”) is available to be won. The Grand Prize is a 2021 Club Car Golf Cart. The ARV of the Grand Prize is $12,000.00 USD. Cash Option: In lieu of taking the Grand Prize 2021 Club Car Golf Cart, the Grand Prize Winner will have the option of receiving Seven Thousand U.S. Dollars ($7,000.00 USD). If Grand Prize Winner elects to take the Cash Option, the Grand Prize Winner will forfeit the Grand Prize 2021 Club Car Golf Cart. Odds of winning will depend upon the total number of eligible entries received during the Sweepstakes Period. No substitution of the Grand Prize will be allowed, except Sponsor reserves the right in its sole discretion to substitute prize(s) of comparable value if listed prize is unavailable, in whole or in part, for any reason. Grand Prize is not exchangeable or transferable. By accepting a prize, Grand Prize winner agrees to release the Sweepstakes Parties from any and all liability whatsoever for any injuries, losses, or damages of any kind caused by entering the Sweepstakes or for damages of any kind caused by a prize or resulting from acceptance, possession, or use/misuse of the prize awarded. 6. Prize Conditions All expenses related to the acceptance or use of the Grand Prize are the sole responsibility of the Grand Prize winner. Sponsor reserves the right to use any and all information related to the Sweepstakes for promotional, marketing and any other purpose, including online announcements unless prohibited by law. Grand Prize winner will be required to complete an Affidavit of Eligibility & Liability / Publicity Release form and an IRS W-9 tax form as a condition of acceptance of the Grand Prize. All expenses and costs not expressly listed as part of the prize and related to its acceptance and/or use are the Grand Prize winner’s sole responsibility. All applicable taxes and duties on the Grand Prize are the sole responsibility of the Grand Prize winner. By accepting the Grand Prize, the Grand Prize winner agrees to release the Sweepstakes Parties from any and all liability whatsoever for any injuries, losses, or damages of any kind caused by entering the Sweepstakes or for damages of any kind caused by the Grand Prize or resulting from acceptance, possession, or use/misuse of the prize awarded. Grand Prize is not exchangeable or transferable. Any costs or expenses incurred by the Grand Prize winner in claiming or using the Grand Prize will be the responsibility of the Grand Prize winner, including without limitation, any licensing, insurance, registration, and title fees related to the Grand Prize. Grand Prize must be accepted as described in these Official Rules and cannot be transferred to another person or substituted for another prize. Any difference between the actual retail value and the ARV stated above will not be awarded. All characteristics and features of the Grand Prize will be determined by the Sponsor in its sole and absolute discretion. Manufacturer's warranty applies to the Grand Prize. Grand Prize will be awarded “AS IS” including exact model, color, options and condition. The value of the Grand Prize set forth above represents Sponsor’s good faith determinations of the ARV thereof and such determinations are final and binding and cannot be appealed. 7. Winner Selection One (1) potential Grand Prize winner will be selected from among all eligible entries received during the Sweepstakes Period in a random drawing to be held on or about November 3, 2022 The random drawing will take place at the offices of a designated representative of the Sponsor, whose decisions are final. 8. Winner Notification The potential Grand Prize winner will be notified by email by a designated representative of the Sponsor within forty-eight (48) hours of the drawing. If the potential winner cannot be contacted within seventy-two (72) hours of notification, or if there is a return of any notification as undeliverable; then he/she may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit any and all rights to the prize) and the Sponsor reserves the right, in its sole and absolute discretion to randomly select an alternate eligible entrant for the prize in a separate random drawing from the remaining eligible entries submitted and received in accordance with these Official Rules. Additional Requirements to Win: the potential Grand Prize winner will become a confirmed winner (the “Winner”) after meeting the requirements that follow. Failure to do so will result in disqualification and an alternate potential winner may be selected by the means set forth above. The potential winner will be required to sign and return, within seventy-two (72) hours of notification of notification, an Affidavit of Eligibility & Liability / Publicity Release form and an IRS W-9 form, which will require additional personal information, including a social security number (the “Releases”). We will only use information from the W-9 form to fulfill our tax obligations in connection with this Sweepstakes and for no other purpose. Grand Prize winner will be issued an IRS 1099-MISC form for the value of the prize for the year in which the prize was received. No one is a Winner unless and until the Sponsor officially confirms him/her as a Winner in accordance with these Official Rules. Prize Delivery: After the Winner has been verified, Sponsor will work with the Winner to arrange delivery to the Winner. The Winner will be required to present adequate personal identification to claim the Grand Prize. The Grand Prize will not be released unless the Winner first shows proof of having a valid driver's license in the state or district in which he/she resides and satisfactory insurance, as determined by the Sponsor or the Sponsor’s representative. Should the Winner select the Cash Option, no transportation or travel arrangements will be provided, and the Cash Option will be delivered within approximately thirty (30) days after the Winner has been verified. 9. Publicity Except where prohibited by law, entry into the Sweepstakes and acceptance of a prize constitutes permission to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the World, the Winner’s name, city, state, and prize won, as news, publicity or information and for advertising, public relations and promotional purposes without limitation and additional compensation, notification or permission. Sponsor reserves the right to use any and all information related to the Sweepstakes for promotional, marketing and any other purpose, including online announcements unless prohibited by law. 10. Limitation of Liability By participating in the Sweepstakes and as a condition of acceptance of a prize, each entrant, his/her heirs, executors, administrators and assigns, releases, waives, discharges, and holds harmless the Sponsor, its parent companies, and their respective subsidiaries, affiliates, suppliers of prizes, advertising and promotion agencies involved in the administration, development, fulfillment and execution of this Sweepstakes (collectively, the “Released Parties”) from, and against any and all loses, damages, rights, claims, actions, causes of action, personal injury, property damage or death (including without limitation any and all costs and liabilities of any kind including but not limited to lawyer’s fees), and including, without limitation, any such arising from any act of negligence of the Releases Parties, that the entrant now has, or may hereafter have against the Released Parties directly or indirectly resulting from participation of the Sweepstakes or the awarding, acceptance, use, or misuse of the prize. Winners assume all liability for any injury or damage caused or claimed to be caused by participation in this Sweepstakes or use/misuse or redemption of the prize. FOR RESIDENTS OF THE STATE OF CALIFORNIA: You acknowledge and agree that your release and waiver extends to the following, the protections of which you explicitly waive: California Civil Code Section 1542: A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor. 11. General Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of the prize. The Released Parties are not responsible for: (i) lost, late, misdirected or damaged entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof; or (iii) any injury or damage to Participant’s or any other person’s computer related to or resulting from participating in the Sweepstakes. By participating in the Sweepstakes, you (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor, which are final and binding in all matters relating to the Sweepstakes. Failure to comply with these Official Rules will result in disqualification from the Sweepstakes. Sponsor reserves the right to permanently disqualify from any Sweepstakes it sponsors any person it believes has intentionally violated these Official Rules. If for any reason this Sweepstakes is not capable of running as planned due to any causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and/or to cancel, terminate, modify or suspend the Sweepstakes, at which time, Sponsor will conduct a random drawing from among all eligible entries received at the time of the Sweepstakes termination. 12. Disputes Except where prohibited, Participants agree that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of Oregon. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the of the State of Oregon, without giving effect to any choice of law or conflict of law rules (whether of the State of Oregon or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Oregon. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney’s fees or other such related costs of bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief. THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER SOUNDING IN CONTRACT OR TORT AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF. 13.
